Frequently asked questions

Questions from companies from Germany.

Can my GmbH directly control the Brazilian company?

Yes. The GmbH can be the sole shareholder of the Brazilian company, with a legal representative resident in Brazil. DZB structures the capital registration and the representation.

Is there a double-taxation treaty between Germany and Brazil?

There is no treaty in force between the two countries. Tax planning for the Brazilian operation takes that into account from the structure design.

What is softlanding?

Softlanding is the structured entry of a foreign company into a new market. In Brazil, DZB Invest handles company incorporation, foreign capital registration, the tax regime, hiring and the first commercial steps.

Do I need a Brazilian partner to open a company in Brazil?

No. Foreign companies can own 100% of the capital, but need a legal representative resident in the country. DZB structures that representation and the required powers of attorney.

How long until we can operate in Brazil?

Usually a few weeks between defining the structure and having the company ready to invoice — timing varies by state, type of activity and bank account opening.

How does foreign capital enter Brazil?

Through FX registered with the Central Bank as foreign direct investment, which allows profit remittance and capital repatriation later. DZB runs the registration and remittances with banking partners.
